The position of Chairman of Nokia’s Board has been transferred from Sari Baldauf to Timo Ihamuotila. Network technology company Nokia held its Annual General Meeting today at Finlandia Hall in Helsinki. Following the decisions of the Annual General Meeting and the subsequent Founding Board of Directors, he has become the new Chairman of Nokia’s Board.

Sari Baldauf, who has been the Chairman of Nokia’s Board of Directors since 2020, has now resigned from Nokia’s Board of Directors. Baldauf joined Nokia’s Board of Directors eight years ago in 2018, but has a long career at Nokia. Baldauf was previously President of Nokia’s Networks business from 1998 to 2005 and held various management positions at Nokia in Finland and the United States from 1983 to 1998. Overall, Baldauf’s history at Nokia spans more than 40 years.

The new Chairman of Nokia’s Board of Directors also has experience in senior management positions within the company. Timo Ihamuotila, who was recently elected to the Nokia Board of Directors, was Nokia’s CFO from 2009 to 2016 and a member of the Executive Team from 2007 to 2016. In total, he has worked at Nokia for more than 20 years. As of spring 2017, Ihamuotila was ABB’s CFO, but will step down from that position in early 2026.

Ihamuotila joined Nokia’s Board of Directors in spring 2025, immediately as Vice Chairman, and is Baldauf’s likely successor. At the annual general meeting, new chairman Ihamuotila highlighted the usefulness of his ABB background for Nokia as it seeks growth.

"ABB is a strong player in data center architecture and data center power systems, and I believe I can use my experience in the data center market and international business management to Nokia's advantage,"notes Ihamuotila.

The importance of the data center and AI markets in Nokia's business has increased recently as the company seeks growth opportunities in these areas.

Timo Ahopelto, Elizabeth Crain, Thomas Dannenfeldt, Pernille Erenbjerg, Lisa Hook, Timo Ihamuotila, Mike McNamara, Thomas Saueressig and Kai Öistämö will remain members of Nokia's board of directors. Thomas Saueressig has been appointed vice chairman.

In addition, Meredith Whittaker from the United States, President of the Signal Technology Foundation, was elected as a new member of the Board of Directors, strengthening the Board's expertise in areas such as artificial intelligence.

Nokia President and CEO Justin Hotard was absent from Nokia's annual general meeting after travelling to the United States to attend to his parents' illness. According to the proposals, Nokia's annual general meeting has authorised the Board of Directors to decide on a distribution of up to EUR 0.14 per share from retained earnings and/or reserves to invested unrestricted capital. This will leave Nokia's dividend level unchanged.
