In addition to reporting its results for the remainder of 2025, Nokia announced its proposals for the annual general meeting on April 9. As expected, Nokia's chairmanship is set to change soon.
Sari Baldauf informed the Board of Directors' Nomination Committee that she will not stand for re-election as a member of the Nokia Board of Directors after the annual general meeting. Baldauf has been Nokia's chairman since 2020, succeeding Risto Siilasmaa.
Timo Ihamuotila was Nokia's CFO from 2009 to 2016 and a member of the Executive Team from 2007 to 2016. He has worked for Nokia for more than 20 years. Ihamuotila has been ABB’s CFO since spring 2017, but has announced that he will step down from his position in autumn 2025.
The Nokia Board of Directors, on the recommendation of the Nomination Committee, will propose before the Annual General Meeting that the number of members of the Board of Directors be ten.
The Board of Directors will also propose before the Annual General Meeting, on the recommendation of the Nomination Committee, that the following current members be re-elected as members of the Board of Directors for a term of office until the end of the next Annual General Meeting: Timo Ahopelto, Elizabeth Crain, Thomas Dannenfeldt, Pernille Erenbjerg, Lisa Hook, Timo Ihamuotila, Mike McNamara, Thomas Saueressig and Kai Öistämö.
In addition, it is proposed that Meredith Whittaker, a US citizen and President of the Signal Technology Foundation, be elected as a new member of the Board of Directors for one term until the end of the next Annual General Meeting.
The Nomination Committee intends to elect Timo Ihamuotila as Chairman of the Board and Thomas Saueressig as Vice Chairman of the Board at the inaugural meeting of the new Board of Directors to be held after the Annual General Meeting, provided that they have been elected to the Board by the Annual General Meeting.
